Healthcare Corporate and Commercial

  • Representing physicians, dentists, podiatrists, and other clinical professionals in a wide range of commercial arrangements including mergers/acquisitions, practice “roll-ups” (including sales to private equity firms), affiliations, recruitment arrangements, and other types of clinical integration transactions in numerous medical and surgical specialties.
  • Advising digital health entrepreneurs on fundamental regulatory and business structural issues.
  • Advising early stage physician practice management companies in the development and implementation of practice acquisition strategies and related matters for the new services entity, including all related transaction documents (i.e., asset purchase agreements, physician employment agreements, management services agreements, etc.)
  • Assisting a large continuing care retirement community chain with unique regulatory requirements across multiple states.
  • Drafting and negotiating complex commercial contracts among and between healthcare providers and pharmaceutical and medical device manufacturers.
  • Drafting and negotiating a wide range of healthcare-related contracts, including physician employment agreements, buy/sell agreement, operating agreements, vendor contracts, managed care agreements, and joint venture agreements.
  • Successfully negotiated high-value contracts between healthcare providers, insurers, and suppliers, ensuring compliance with all regulatory requirements.

General Corporate and Commercial

  • Representing the interests of a group of entrepreneurs in the development of a web-based platform providing services in multiple states, including its sale to a private equity firm.
  • Serving as lead counsel in sale of stock of a regional, professional services firm from a national, publicly traded company.
  • Representing an international lobbying firm in the purchase of assets of a wholly owned subsidiary of a publicly held company headquartered in Europe.
  • Serving as legal counsel to a key executive in the negotiation of an employment agreement with the purchaser of his manufacturing company employer, including compensation, benefits, restrictive covenants, and stock options.
  • Representing an engineering design firm in the negotiation and execution of various stock option and stock purchase agreements involving start-up and early-stage companies.
  • Serving as lead counsel in the negotiation of the exit by a franchisee from national franchisor through an asset sale to a third party.
  • Representing a diversified accounting/management consulting firm in various corporate and commercial matters.
  • Serving as counsel to the new entity formed by the statutory merger of Pennsylvania limited liability companies.
  • Representing an early-stage eCommerce platform in the formation and development of joint ventures with qualified entrepreneurs.
  • Serving as general counsel to a joint venture limited liability company, including the purchase and sale of membership interests, complex vendor contracts and related commercial disputes.

Healthcare Data Privacy & Security

  • Providing advice and counseling to hospitals, physicians and other providers regarding the interpretation of the HIPAA and HITECH regulations.
  • Coordinating data breach responses, including those involving protected health information subject to the Health Insurance Portability and Accountability Act of 1996 (HIPAA) and personally identifiable information subject to state breach law.
  • Representing medical practices in handling ransomware attacks, including engaging forensic experts and analyzing HIPAA and state breach law obligations.

Managed Care, Medicare & Medicaid Reibursement Disputes

  • Serving as lead counsel in reimbursement disputes at all levels of the Medicare/Medicaid programs including redeterminations, reconsiderations, and hearings in front of administrative law judges.
  • Representing health care providers in disputes with commercial payors in reimbursement disputes relating to alleged improper coding, use of modifiers, medical necessity, and site of service.
  • Serving as lead counsel in cases involving more serious allegations, e.g., violations of the False Claims Act, Stark Act or the Anti-Kickback Statuteto reach settlements that minimize the risk and cost of fines and criminal liability.
  • Working closely with clients to review billing practices, identify and remedy coding issues, and analyze payor policies and procedures implemented to minimize payment reductions.
  • Conducting internal investigations to identify and correct billing inconsistencies and reduce the likelihood of reimbursement denials.

Healthcare Regulatory Compliance

  • Representing healthcare providers in payor audits, including Medicare MAC and HCPIC audit appeals through the Administrative Law Judge level.
  • Advising healthcare organizations on regulatory compliance matters, including Medicare and Medicaid reimbursement issues, fraud and abuse laws, and patient privacy regulations.
  • Conducted numerous compliance audits and internal investigations to identify and mitigate legal risks with respect to “core” healthcare laws and regulations, including Anti-Kickback, Stark, HIPAA and the Sunshine Act.
  • Representing healthcare providers in connection with voluntary disclosures in connection with U.S. Department of Health and Human Services – OIG Voluntary Self-Disclosure Protocol and the CMS Physician Self-Referral Law Voluntary Disclosure Protocol.
